These Terms of Service (“Terms”) govern your access to and use of the 0dai CLI, the 0dai API service at 0dai.dev, and all related software, tools, and infrastructure (collectively, the “Service”). By using the Service, you agree to be bound by these Terms.

1. Description of Service

0dai provides an AI layer for multi-agent software development. The Service includes:

  • 0dai CLI: An open-source command-line tool (MIT License) that generates and manages AI agent configuration files
  • 0dai API: A cloud service that provides project initialization, synchronization, model recommendations, swarm orchestration, and other features
  • 0dai Dashboard: A web interface for monitoring project health, maturity scores, and usage metrics

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.

3. Accounts and Authentication

To access certain features of the Service, you must authenticate through a supported OAuth provider (Google or GitHub). You are responsible for:

  • Maintaining the security of your OAuth credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior.

4. Plans and Pricing

The Service is offered under the following plans:

  • Free: Basic read-only MCP tools and baseline helpers (49 tools), project initialization, and limited API access
  • Pro ($15/month): All 103 MCP tools, swarm delegation, model routing, working groups, and advanced analytics
  • Team ($49/month per seat): All Pro features plus team collaboration, shared intelligence, and priority support

Pricing and plan features may change with notice. Existing subscribers will be notified of material changes at least 30 days in advance.

5. Acceptable Use

You agree not to:

  • Use the Service to develop a competing product or service
  • Attempt to bypass plan restrictions, rate limits, or access controls
  • Use the Service for illegal, fraudulent, or harmful purposes
  • Interfere with or disrupt the Service, servers, or networks
  • Scrape, crawl, or reverse-engineer the Service beyond normal CLI usage
  • Share your account credentials or access tokens with others
  • Submit malicious code, malware, or prompts designed to exploit other users

6. Intellectual Property

The 0dai CLI is available under the MIT License. You are free to use, modify, and distribute the CLI code under those terms.

The 0dai API, dashboard, and cloud infrastructure are proprietary. Access is granted through your subscription and does not convey any ownership rights.

Content you generate using the Service (AI configurations, project manifests, session data) remains yours. We do not claim ownership over your project files or AI-generated output.

7. User Content and Feedback

When you submit feedback, reports, or experience data to 0dai, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate that content into our Service for the purpose of improving product quality and user experience.

8. Service Availability and SLA

The Service is provided on an “as-is” and “as-available” basis. We do not guarantee uninterrupted or error-free operation. Planned maintenance will be announced in advance when possible.

For Pro and Team subscribers, we target 99.5% monthly uptime. Extended outages may result in service credits at our discretion.

9. Limitation of Liability

To the maximum extent permitted by law, 0dai and its contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or business opportunities
  • Errors or inaccuracies in AI-generated recommendations
  • Actions taken by AI agents based on 0dai configurations
  • Service interruptions or data loss

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to 0dai in the 12 months preceding the claim.

10. AI-Generated Content Disclaimer

0dai provides AI-powered recommendations, model routing, and swarm delegation. These outputs are generated by third-party AI models and may contain errors, inaccuracies, or inappropriate suggestions. You are responsible for:

  • Reviewing all AI-generated configurations before applying them
  • Ensuring AI agent actions comply with your organization's policies
  • Not relying solely on AI recommendations for critical decisions

0dai does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if:

  • You violate these Terms
  • Your subscription payment fails and is not remedied
  • We are required to do so by law
  • We discontinue the Service (with 30 days notice)

Upon termination, your account data will be handled in accordance with our Privacy Policy.

12. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws applicable to the jurisdiction in which 0dai operates. Any disputes arising from these Terms shall be resolved through good-faith negotiation before pursuing legal remedies.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
